Please read these Terms and Conditions ("Terms") carefully before using the software development, design, and maintenance services provided by ERIKS TRADE SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, registered in Poland, at str. Piotrkowska 148/150, Łódź, 90-0631, Company Number: 89011919956 (hereinafter referred to as the “Provider,” "we," "us," or "our"). By using our services, you (hereinafter referred to as the “Client”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our services.
1.1 Scope of Services
We provide software development, design, and maintenance services, including but not limited to: designing, coding, testing, and implementing software solutions, as well as ongoing support. The specific details of the services — including deliverables, timelines, and fees — will be outlined in a separate agreement between us and the Client.
1.2 Client Responsibilities
The Client agrees to provide all necessary information, materials, access, and cooperation needed for successful service delivery. Any delays or changes caused by the Client may impact timelines and costs.
2.1 Ownership
Unless otherwise agreed in writing, all intellectual property rights — including copyrights and proprietary rights — related to the work we deliver remain our exclusive property. The Client will receive a non-exclusive, non-transferable license to use the software as specified in the service agreement.
2.2 Confidentiality
Both parties agree to maintain confidentiality of any sensitive information shared throughout the project. This includes trade secrets, proprietary data, and project documentation. The confidentiality obligation survives the termination of the agreement.
3.1 Fees and Invoicing
The Client shall pay the agreed-upon fees as specified in the service agreement. All payments are to be made in the agreed currency and within the schedule defined in the agreement.
3.2 Late Payments
We reserve the right to suspend or terminate services in the event of delayed payment. Late fees or interest charges may apply as specified in the agreement or under applicable laws.
4.1 Disclaimer
Our services are provided "as-is" and "as-available", without warranties of any kind. We do not guarantee uninterrupted or error-free service and disclaim all liability for loss or damage resulting from service use.
4.2 Indemnification
The Client agrees to indemnify and hold us harmless against any claims, liabilities, or damages arising from service use or breach of these Terms.
5.1 Termination by Either Party
Either party may terminate the agreement by written notice. Termination does not waive the Client’s responsibility to pay any outstanding fees.
5.2 Termination for Cause
The agreement may be terminated by either party in the event of material breach, if not resolved after notice.
These Terms are governed by the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Łódź, Poland, unless otherwise agreed in writing.
We may update these Terms at any time by posting the revised version on our website or notifying the Client. Continued use of services implies acceptance of the updated Terms.
